Abstrakt (PL)
Niniejsza praca ma na celu analizę pojęcia umowy agencyjnej jako stosunku podlegającego przepisom prawa cywilnego oraz prawa konkurencji, a następnie przedstawienie skutków odmiennego jej pojmowania w tych dwóch gałęziach prawa. Pierwszy rozdział zawiera rys historyczny unormowania umowy agencyjnej w prawie cywilnym, ze szczególnym uwzględnieniem wpływu harmonizacji prawa wspólnotowego na kształt tej umowy w Kodeksie Cywilnym. W rozdziale drugim scharakteryzowano umowę agencyjną w świetle przepisów Kodeksu Cywilnego. Szczególny nacisk został położony na zobowiązanie del credere, wyrażony expressis verbis obowiązek lojalności oraz świadczenie wyrównawcze - jako instytucje unikalne dla umowy agencyjnej. Rozdział trzeci zawiera analizę umowy agencyjnej w rozumieniu prawa konkurencji. W tym celu najpierw zostały przedstawione podstawowe przepisy unijnego i polskiego prawa konkurencji, w szczególności zakaz porozumień ograniczających konkurencję oraz wyłączenia spod tego zakazu, a następnie ujęcie umowy agencyjnej w prawie konkurencji w świetle Wytycznych VBER oraz orzecznictwa i praktyki decyzyjnej organów ochrony konkurencji. Analizie poddano tu kluczowe z perspektywy prawa konkurencji przesłanki pozwalające na uznanie umowy agencyjnej za umowę agencyjną właściwą, teorię single economic unit oraz rozkład ryzyk pomiędzy agentem i dającym zlecenie. Ostatni rozdział zestawia pojęcie umowy agencyjnej w prawie konkurencji i w prawie cywilnym oraz omawia wynikające z niego skutki. Zostały wskazane zasadnicze dla kwalifikacji umowy agencyjnej jako właściwej w prawie konkurencji cywilnoprawne elementy stosunku agencyjnego, którymi w opinii autora pracy są: wynagrodzenie, zwrot wydatków, klauzula del credere oraz ograniczenie działalności konkurencyjnej agenta. Zwrócono także uwagę na cywilnoprawne skutki porozumień ograniczających konkurencję, za jakie może być niekiedy uznana umowa agencyjna. Pracę kończą wnioski, że nie każda umowa agencyjna zgodna z przepisami Kodeksu Cywilnego nie jest objęta zakazem porozumień ograniczających konkurencję jako umowa agencyjna właściwa w rozumieniu prawa konkurencji, co może skutkować nieważnością jej części lub całości. W pracy zwrócono uwagę na kontrast pomiędzy umową agencyjną uznawaną za właściwą w prawie konkurencji jako stosunkiem, w którym agent zatraca swoją niezależność i traktowany jest jako przedłużenie przedsiębiorstwa dającego zlecenie, a cywilnoprawną umową agencyjną, która charakteryzuje się wysoką samodzielnością agenta ponoszącego ryzyka jako niezależny przedsiębiorca.
Abstrakt (EN)
The aim of this thesis is to analyze the concept of an agency agreement as a relationship subject to civil law and competition law, and then to present the effects of its different interpretations in these two branches of law. The first chapter contains a historical overview of the regulation of agency agreements in civil law, with particular emphasis on the impact of the harmonization of Community law on the shape of this agreement in the Civil Code. The second chapter characterizes the agency agreement in the light of the provisions of the Civil Code. Particular emphasis is placed on the del credere obligation, the expressis verbis loyalty obligation, and the indemnity as institutions unique to the agency agreement. The third chapter contains an analysis of the agency agreement within the meaning of competition law. For this purpose, the fundamental provisions of EU and Polish competition law are first presented, in particular the prohibition of agreements restricting competition and exemptions from this prohibition, followed by a discussion of agency agreements in competition law in light of the VBER Guidelines, case law and practice of competition authorities. The analysis covers the key prerequisites from the perspective of competition law for recognizing an agency agreement as a genuine agency, the single economic unit theory, and the distribution of risks between the agent and the principal. The last chapter compares the concept of an agency agreement in competition law and civil law and discusses the resulting effects. The civil law elements of the agency contract that are essential for its classification as a genuine agency under competition law are identified, which, in the author's opinion, are: remuneration, reimbursement of expenses, the del credere clause, and the restriction of the agent's competitive activity. Attention is also drawn to the civil law consequences of agreements restricting competition, which an agency agreement may sometimes be considered to be. The paper concludes that not every agency agreement that complies with the provisions of the Civil Code is exempt from the prohibition of agreements restricting competition as a genuine agency within the meaning of competition law, which may result in it being partially or wholly void. The thesis highlights the contrast between genuine agency under competition law as a relationship in which the agent loses his independence and is treated as an extension of the principal, and a civil law agency agreement, which is characterized by a high degree of independence of the agent bearing the risks as an independent entrepreneur.
