Obowiązek informacyjny banku wobec konsumenta przy stosowaniu klauzuli zmiennego oprocentowania w świetle orzecznictwa TSUE

Praca poświęcona jest obowiązkom informacyjnym kredytodawcy wobec konsumenta przy stosowaniu klauzuli zmiennego oprocentowania. Głównym punktem odniesienia pozostaje prawo Unii Europejskiej, w szczególności dyrektywa 93/13 oraz rozwijany w orzecznictwie TSUE wymóg przejrzystości warunków umownych. Celem pracy jest ustalenie, w jakim zakresie obowiązki informacyjne kredytodawcy powinny być realizowane w odniesieniu do klauzuli zmiennego oprocentowania, w szczególności w kontekście możliwości zrozumienia przez konsumenta mechanizmu jego działania, związanego z nim ryzyka oraz potencjalnych konsekwencji ekonomicznych zawarcia umowy. Analiza obejmuje konstrukcję klauzuli zmiennego oprocentowania, znaczenie ryzyka stopy procentowej oraz zakres informacji dotyczących wskaźnika referencyjnego. Szczególne miejsce zajmuje problem stosowania wskaźnika WIBOR w umowach kredytu oraz ocena obowiązków kredytodawcy w świetle najnowszego orzecznictwa TSUE. Uwzględniono również znaczenie momentu zawarcia umowy, ponieważ zakres obowiązków informacyjnych kształtuje się odmiennie w zależności od właściwego reżimu prawnego, w tym stosowania dyrektywy 2014/17 i rozporządzenia BMR. Końcowa część pracy koncentruje się na relacji między wymogiem przejrzystości a oceną nieuczciwego charakteru klauzuli zmiennego oprocentowania. Analizie poddano także konsekwencje stwierdzenia abuzywności takiego warunku, w szczególności możliwość dalszego obowiązywania umowy po jego wyeliminowaniu oraz granice ingerencji sądu w treść stosunku umownego.

Abstrakt (EN)

The thesis examines the information obligations of creditors towards consumers in connection with the use of variable interest rate clauses. Its principal point of reference is European Union law, in particular Directive 93/13 and the requirement of transparency of contractual terms developed in the case law of the CJEU. The aim of the thesis is to determine the scope of the creditor’s information obligations in relation to variable interest rate clauses, particularly with regard to enabling consumers to understand the operation of the mechanism, the risks associated with it, and the potential economic consequences of entering into the agreement. The analysis covers the structure of variable interest rate clauses, the significance of interest rate risk, and the scope of information concerning the reference benchmark. Particular attention is devoted to the use of WIBOR in credit agreements and to the assessment of creditors’ information obligations in the light of the most recent case law of the CJEU. The thesis also considers the significance of the date on which the agreement was concluded, since the scope of information obligations differs depending on the applicable legal framework, including the application of Directive 2014/17 and the BMR Regulation. The final part of the thesis focuses on the relationship between the transparency requirement and the assessment of the unfairness of a variable interest rate clause. It also examines the consequences of finding such a term unfair, in particular whether the agreement may continue to exist after the term has been removed and the limits of judicial intervention in the contractual relationship.
