W niniejszej pracy, poddane zostało analizie zagadnienie dotyczące wpływu zasady business judgement rule na odpowiedzialność członka zarządu spółki z ograniczoną odpowiedzialnością w kontekście artykułu 299 Kodeksu spółek handlowych. Przepis ten reguluje odpowiedzialność członków zarządu za zobowiązania spółki w sytuacji, gdy egzekucja przeciwko spółce okazuje się bezskuteczna. Zasada business judgement rule, która chroni członków zarządu przed odpowiedzialnością za decyzje biznesowe podjęte w dobrej wierze i z należytą starannością, będzie kluczowym elementem analizy prawnej i praktycznej tego zagadnienia. Celem pracy jest zbadanie, w jaki sposób zasada business judgement rule wpływa na ograniczenie odpowiedzialności członków zarządu zgodnie z art. 299 KSH. This thesis examines the issue of the impact of the business judgement rule on the liability of a member of the management board of a limited liability company in the context of Article 299 of the Commercial Companies Code. This provision regulates the liability of members of the management board for the obligations of the company in a situation where enforcement against the company proves ineffective. The business judgement rule, which protects management board members from liability for business decisions made in good faith and with due diligence, will be a key element in the legal and practical analysis of this issue. The purpose of this thesis is to examine how the business judgement rule affects the limitation of management board members' liability under Article 299 of the Commercial Companies Code. It will be analyzed whether and to what extent management board members can invoke this rule to avoid liability for the company's obligations to their creditors. The thesis is based on an analysis of the literature on the subject, judicial decisions and legal acts. A primarily theoretical-legal method was used to identify key aspects and prerequisites for the application of the business judgement rule in the Polish legal system. The work has both a practical and theoretical dimension, the purpose of which is to better understand and effectively implement the business judgement rule in the Polish corporate legal system.
