Istota, regulacje prawne oraz wyzwania rynku obligacji korporacyjnych w Polsce po 2018r.

Niniejsza praca pod tytułem: „Istota, regulacje prawne oraz wyzwania rynku obligacji korporacyjnych w Polsce po 2018 r.” podejmuje problematykę rynku obligacji korporacyjnych w Polsce ze szczególnym uwzględnieniem zmian regulacyjnych wprowadzonych po aferze GetBack w 2018 r. Przedstawiono genezę oraz istotę obligacji korporacyjnych jako dłużnego papieru wartościowego, omówiono warunki i tryby emisji, a także instrumenty ochrony interesów obligatariuszy, w tym zgromadzenie obligatariuszy, instytucję banku-reprezentanta oraz główne rodzaje zabezpieczeń. Szczególną uwagę poświęcono zmianom wprowadzonym po aferze GetBack, obejmującym m.in. zmianę definicji oferty publicznej, obowiązkową dematerializację i rejestrację w KDPW, obowiązek zawarcia umowy z agentem emisji przy ofertach niepublicznych kierowanych poza rynek regulowany/ASO, a także wprowadzenie Rejestru Zobowiązań Emitentów.

This thesis entitled “The essence, legal regulations and challenges of the corporate bond market in Poland after 2018” addresses the issue of the corporate bond market in Poland, with particular emphasis on the regulatory changes introduced after GetBack scandal in 2018. It presents the genesis and essence of corporate bonds as debt securities, discusses the conditions and procedures for their issuance, and analyses the instruments designed to protect the interests of bondholders, including bondholders’ meetings, the institution of the bondholders’ representative (bank-representative), and the main types of collateral. Special attention is devoted to the reforms implemented following the GetBack scandal, including the change in the definition of public offering, the introduction of mandatory dematerialisation and registration in the KDPW, the obligation to conclude an agreement with an issuance agent in the case of non-public offerings conducted outside of the regulated market or alternative system (ASO), as well as the establishment of the Issuers’ Liabilities Register (RZE)
