Rozprawa podejmuje problematykę podmiotowości prywatnych osób prawnych w sferze ochrony praw fundamentalnych. Głównym celem wywodu jest usystematyzowanie katalogu praw podstawowych przysługujących osobom prawnym oraz wyznaczenie granic między prawami absolutnie im niedostępnymi a tymi, które mogą podlegać funkcjonalnej adaptacji w obrocie gospodarczym. Głównym narzędziem weryfikacji poszczególnych praw jest trzystopniowy test celowości, który bada ludzki punkt wyjścia danego prawa, poddaje go transformacji poprzez odarcie z komponentu biologiczno-emocjonalnego i określa obiektywny kształt ochrony dla podmiotu niebędącego osobą fizyczną. Całość pracy zamyka postulat rezygnacji ze sztywnych katalogów praw na rzecz stosowania uniwersalnych kryteriów celowościowych na etapie tworzenia prawa i w orzecznictwie.

This dissertation addresses the issue of the legal personhood of private legal persons in the sphere of fundamental rights protection. The primary objective of the analysis is to systematize the catalog of fundamental rights vested in legal persons and to delineate the boundaries between rights that are absolutely inaccessible to them and those capable of functional adaptation in commercial transactions. The main tool for verifying individual rights is a three-stage purposiveness test, which examines the human point of origin of a given right, transforms it by stripping away its biological and emotional components, and defines the objective scope of protection for a non-natural person. The thesis concludes with a postulate to move away from rigid catalogs of rights in favor of applying universal purpose-based criteria both in the lawmaking process and in judicial decision-making.
