Rozwiązanie i likwidacja funduszu inwestycyjnego

Niniejsza praca magisterska zawiera kompleksową analizę regulacji prawnych dotyczących rozwiązania i likwidacji funduszy inwestycyjnych. Uwzględnia ona również m.in. praktykę rynkową w zakresie określania pozaustawowych przesłanek rozwiązania funduszu inwestycyjnego, podejście rynkowe do prowadzenia procesu likwidacji funduszu inwestycyjnego, przykłady rynkowe dot. wystąpienia przyczyn rozwiązania funduszy inwestycyjnych oraz stanowiska Komisji Nadzoru Finansowego. Niniejsza praca porusza również problematyczne kwestie związane z procesem likwidacji funduszu inwestycyjnego, takie jak: certyfikaty inwestycyjne nie w pełni opłacone, moment powstania roszczenia uczestnika likwidowanego funduszu oraz stosowanie instytucji datio in solutum w procesie likwidacji funduszu. Ponadto, w niniejszej pracy znajduje się analiza danych statystycznych dot. czasu trwania likwidacji funduszy inwestycyjnych oraz przykładowy harmonogram likwidacji funduszy, który kompiluje obowiązki likwidatora funduszu związane z procesem likwidacji funduszu inwestycyjnego.

This thesis provides a comprehensive analysis of the legal regulations on the dissolution and liquidation of investment funds. It also takes into account, among other things, market practice in determining non-regulatory grounds for the dissolution of an investment fund, the market approach to conducting the process of liquidation of an investment fund, market examples of the occurrence of grounds for the dissolution of investment funds, and the stance of the Polish Financial Supervision Authority (Komisja Nadzoru Finansowego). This thesis also addresses problematic issues related to the process of liquidation of an investment fund, such as: investment certificates not fully paid, the moment when the claim of a participant in a liquidated fund arises, and the application of the institution of datio in solutum in the process of liquidation of a fund. In addition, this work includes an analysis of statistical data on the duration of the liquidation of investment funds, as well as a model fund liquidation schedule that compiles the fund liquidator's duties related to the investment fund liquidation process.
