Prawna natura inteligentnych kontraktów w prawie cywilnym

Niniejsza praca dotyczy zagadnienia nowatorskiej formy czynności prawnych, jaką jest inteligentny kontrakt (smart contract). Jego specyfika wynika z osadzenia w systemach opierających się na technologii blockchain, ustanawiającej szczególne standardy przesyłania informacji pomiędzy jego użytkownikami. Z uwagi na rosnące zainteresowanie wskazaną formą oraz jej jednoczesny niejasny charakter prawny, praca ma na celu przedstawienie możliwego zastosowania inteligentnego kontraktu do dokonania czynności prawnej oraz osadzenie go w najważniejszych konstrukcjach prawa cywilnego. W początkowej części pracy przedstawiono podstawowe kwestie dotyczące oświadczeń woli oraz ich wykładni, ogólnej typologii umów i kodeksowych form czynności prawnych. Następnie, w celu przybliżenia zasad funkcjonowania technologii blockchain – determinującej charakter inteligentnych kontraktów – opisano mechanizm jej działania, podstawowe typy oraz kluczowe właściwości. Powyższe ustalenia pozwoliły w dalszej kolejności na dokonanie oceny ich prawnej natury, a ściślej – ich specyfiki jako nowej formy zawierania czynności prawnych oraz związanych z tym implikacji.

This thesis addresses the issue of an innovative form of legal acts, namely the smart contract. Its specific nature stems from being embedded in systems based on blockchain technology, which establishes distinct standards for data transmission between its users. Due to the growing interest in this form and its simultaneously ambiguous legal status, this study aims to present the potential application of smart contracts for executing legal acts and to contextualize them within the fundamental constructs of civil law. The opening section of the thesis presents the core concepts regarding declarations of intent and their interpretation, the general typology of contracts, and the statutory forms of legal acts. Subsequently, to outline the operating principles of blockchain technology — which determines the nature of smart contracts — its mechanism, main types, and key features are described. These findings then enabled an assessment of their legal nature, and more precisely, their specificity as a new form of legal acts and the implications associated with it.
