Niniejsza praca dotyczy prawnych aspektów transakcji typu Venture Capital (VC). Analizie zostaje poddana problematyka klauzul kontraktowych określanych mianem oświadczeń i zapewnień, w tym w szczególności ich doniosłość i konsekwencje prawne. Praca skupia się w tym zakresie na szczególnych ryzykach cechujących transakcje VC, które rzutują na konstruowany w wyniku oświadczeń i zapewnień reżim odpowiedzialności cywilnoprawnej założycieli spółek i zakres zabezpieczeń po stronie inwestorów. Praca składa się ze Wstępu, trzech rozdziałów i Zakończenia. W rozdziale pierwszym zaprezentowano istotę transakcji VC, w tym strukturę prawną i szczególne obszary ryzyk występujące w związku inwestycjami na wczesnym etapie rozwoju przedsiębiorstw. Zostały zaprezentowane także role różnych uczestników transakcji oraz kryteria oceny projektów inwestycyjnych. W rozdziale drugim znajduje się szczegółowa analiza rodzajów oświadczeń i zapewnień oraz ich wpływu na odpowiedzialność cywilnoprawną stron transakcji. Rozdział trzeci omawia praktyczne aspekty implementacji oświadczeń i zapewnień w umowach inwestycyjnych. W zakończeniu zostały podsumowane wnioski z analizy.

This thesis concerns the legal aspects of Venture Capital (VC) transactions. The issue of contractual clauses referred to as statements and assurances, including in particular their significance and legal consequences, is analyzed. The thesis focuses on the specific risks characterizing VC transactions, which affect the civil liability regime of the founders of companies and the scope of collateral on the part of investors, constructed as a result of statements and assurances. The thesis consists of an Introduction, three chapters and an End. The first chapter presents the essence of VC transactions, including the legal structure and specific risk areas occurring in connection with investments at an early stage of business development. The roles of various participants in the transaction and the criteria for evaluating investment projects were also presented. The second chapter contains a detailed analysis of the types of statements and assurances and their impact on the civil liability of the parties to the transaction. The third chapter discusses the practical aspects of the implementation of statements and assurances in investment agreements. In the end, the conclusions of the analysis were summarized.
