Swoboda wskazania beneficjenta fundacji rodzinnej

Praca poświęcona jest analizie zakresu swobody fundatora w wyborze beneficjenta fundacji rodzinnej na gruncie ustawy o fundacji rodzinnej. Głównym celem opracowania jest zbadanie, w jakim zakresie fundator może samodzielnie decydować o kręgu beneficjentów oraz zasadach przyznawania im świadczeń, a także wskazanie ustawowych ograniczeń tej swobody. W pracy omówiono istotę fundacji rodzinnej jako instrumentu sukcesji majątkowej, status prawny beneficjenta oraz relacje pomiędzy wolą fundatora a ochroną interesów beneficjentów i innych uczestników obrotu prawnego. Analizie poddano również rozwiązania funkcjonujące w wybranych państwach europejskich oraz poglądy doktryny i orzecznictwa. Przeprowadzone rozważania prowadzą do wniosku, że szeroka autonomia fundatora w kształtowaniu kręgu beneficjentów stanowi jeden z podstawowych elementów konstrukcji fundacji rodzinnej i warunek skutecznej realizacji jej celów sukcesyjnych.

This thesis is devoted to an analysis of the founder’s discretion in selecting beneficiaries of a family foundation under the provisions of the Family Foundation Act. The primary objective of the study is to examine the extent to which the founder may independently determine the circle of beneficiaries and the rules governing the allocation of benefits to them, as well as to identify the statutory limitations imposed on such discretion. The thesis discusses the nature of the family foundation as an instrument of wealth succession, the legal status of beneficiaries, and the relationship between the founder’s intentions and the protection of the interests of beneficiaries and other participants in legal transactions. The analysis also encompasses solutions adopted in selected European countries, as well as views expressed in legal doctrine and case law. The conducted research leads to the conclusion that the founder’s broad autonomy in shaping the circle of beneficiaries constitutes one of the fundamental elements of the family foundation’s legal structure and a prerequisite for the effective achievement of its succession-related objectives.
