Abstrakt (PL)
Jedna z najbardziej rozpowszechnionych dotychczas typologii osób prawnych – oparta na dziedzictwie justyniańskiego prawa rzymskiego – zaproponowana została przez F.C. von Savigny’ego w System des heutigen Römischen Rechts. Ze względu na kryterium podstawowego substratu wyróżnić można zgodnie z nią osoby prawne w postaci albo korporacyjnej (Korporationen), albo zakładowej (Stiftungen). W nauce polskiej podział ten przedstawiany jest obecnie najczęściej jako numerus clausus. Mimo że problematyka ta znalazła się ostatnimi laty poza zakresem badań większości przedstawicieli doktryny, zmiany zachodzące w prawie prywatnym skłaniają do refleksji nad tym zagadnieniem. Celem pracy jest postawienie i weryfikacja tezy o niedychotomicznym charakterze podziału osób prawnych w związku z wejściem w życie w Polsce ustawy o fundacji rodzinnej z 26.1.2023 r. W pracy podsumowane zostaną w kontekście historycznym najważniejsze cechy i różnice między oboma typami osób prawnych, a także przedstawione zostaną nieobecne dotychczas w Polsce fundacje prywatne. Z kolei na przykładzie szczególnych właściwości fundacji rodzinnej wskazane zostaną argumenty przemawiające za stwierdzeniem, że dotychczasowy sposób myślenia o typologii osób prawnych nie odpowiada do końca współczesnym realiom prawnym. Badanie charakteru osobowości prawnej fundacji rodzinnej nastąpi zwłaszcza przez pryzmat jej przejawów. Przeprowadzone zostanie ponadto wnioskowanie prowadzące do stwierdzenia, że jest ona przykładem osoby prawnej typu mieszanego, a także zostanie dokonana ocena skutków takiego sposobu regulacji.
Abstrakt (EN)
One of the most widespread typologies of legal persons to date – based on the legacy of Justinian Roman law – was proposed by F.C. von Savigny in the System des heutigen Römischen Rechts. According to it, in terms of the criterion of the basic substrate, legal persons can be distinguished in the form of either corporations (Korporationen) or foundations (Stiftungen). In Polish doctrine, this division is currently most often presented as a numerus clausus. Although this issue has recently been outside most scholars’ research scope, the changes taking place in private law encourage reflection on this issue. The thesis aims to pose and verify the non-dichotomous nature of the division of legal persons in connection with the Family Foundation Act of 26.1.2023 coming into force in Poland. The work will summarise, in a historical context, the most important features and differences between both types of legal persons and will also present private foundations, which have been absent in Poland so far. In turn, using the example of the specific characteristics of a family foundation, arguments will be made to conclude that the existing approach to the typology of legal persons does not fully correspond to contemporary legal realities. The nature of the legal personality of the family foundation will be examined in particular through the prism of its manifestations. In addition, an inference leading to the conclusion that it is an example of a legal entity of the mixed type will be carried out, and an assessment of the consequences of this mode of regulation will be made.
