Wybrane mechanizmy funkcjonowania rady nadzorczej w spółce akcyjnej

Celem niniejszej pracy jest omówienie wybranych mechanizmów funkcjonowania rady nadzorczej w spółce akcyjnej. Analizie poddane zostały trzy instytucje: delegowanie członków rady nadzorczej do czasowego wykonywania funkcji członka zarządu, kompetencja rady nadzorczej do kształtowania składu zarządu oraz obowiązek uzyskania zgody rady na dokonanie określonych czynności przez zarząd. Istotnym elementem pracy jest także analiza wybranych poglądów doktryny oraz orzecznictwa dotyczącego funkcjonowania rady nadzorczej w spółce akcyjnej. W pracy przedstawiono charakter prawny powyższych mechanizmów, a także ich znaczenie dla relacji pomiędzy organami spółki oraz wpływ na ład korporacyjny. Praca ma na celu ukazanie roli wskazanych instytucji w systemie nadzoru w spółce akcyjnej.

The purpose of this thesis is to discuss selected mechanisms governing the functioning of the Supervisory Board in a joint-stock company. The analysis focuses on three institutions: the delegation of Supervisory Board members to temporarily perform the duties of a member of the Management Board, the Supervisory Board’s authority to determine the composition of the Management Board, and the requirement to obtain the Supervisory Board’s approval for certain actions undertaken by the Management Board. An important element of the thesis is also an examination of selected doctrinal views and case law concerning the functioning of the Supervisory Board in a joint-stock company. The thesis presents the legal nature of the aforementioned mechanisms, as well as their significance for the relationship between the company’s governing bodies and their impact on corporate governance. The aim of the thesis is to demonstrate the role of these institutions within the system of supervision in a joint-stock company.
