Abstrakt (PL)
Praca dotyczy ryczałtu od dochodów spółek, określanego jako estoński CIT, jako alternatywnego modelu opodatkowania spółek w polskim systemie podatkowym. Celem pracy była analiza konstrukcji prawnej tego rozwiązania, zasad jego stosowania oraz problemów praktycznych pojawiających się w interpretacjach indywidualnych i orzecznictwie sądów administracyjnych. W pierwszej części pracy omówiono genezę i cele wprowadzenia ryczałtu od dochodów spółek, jego strukturę, warunki stosowania oraz obowiązki ewidencyjne i sprawozdawcze podatników. Następnie przedstawiono kategorie dochodów podlegających opodatkowaniu, stawki ryczałtu, moment powstania obowiązku podatkowego oraz przesłanki wejścia do systemu i utraty prawa do tej formy opodatkowania. W dalszej części pracy dokonano porównania ryczałtu od dochodów spółek z klasycznym modelem CIT. Szczególną uwagę poświęcono efektywnym stawkom opodatkowania, odroczeniu momentu zapłaty podatku oraz wpływowi tego systemu na decyzje dotyczące zatrzymywania zysków, inwestycji i finansowania działalności spółek. Ostatnia część pracy została poświęcona praktycznym problemom stosowania estońskiego CIT. Przeanalizowano przede wszystkim zagadnienie ukrytych zysków, wydatków niezwiązanych z działalnością gospodarczą, transakcji z podmiotami powiązanymi oraz skutków utraty prawa do opodatkowania ryczałtem. W pracy wskazano, że ryczałt od dochodów spółek może być korzystnym i prorozwojowym rozwiązaniem podatkowym, jednak jego stosowanie wymaga starannej analizy warunków ustawowych oraz bieżącej kontroli rozliczeń podatkowych.
Abstrakt (EN)
This thesis concerns lump-sum tax on corporate income, known as the Estonian CIT, as an alternative model of corporate taxation in the Polish tax system. The aim of the thesis was to analyse the legal structure of this solution, the rules of its application as well as practical issues arising in individual tax rulings and in the case law of administrative courts. The first part of the thesis discusses the origin and aims of introducing the lump-sum tax on corporate income, its structure, the conditions of its application as well as taxpayers’ record-keeping and reporting obligations. Next, it presents the categories of income subject to taxation, the lump-sum tax rates, the moment the tax obligation arises as well as conditions for entering the system and losing the right to this form of taxation. The subsequent part of the thesis compares the lump-sum tax with the classic CIT model. Particular attention is devoted to effective tax rates, the deferral of the moment of tax payment, as well as the impact of this system on decisions regarding profit retention, investment, and the financing of corporate operations.
The final part of this thesis illustrates the practical problems of applying the Estonian CIT. The analysis focuses primarily on the issue of hidden profits, expenses unrelated to business activity, transactions with related entities, as well as the consequences of losing the right to lump-sum taxation. This thesis proves that the lump-sum tax on corporate income may be a beneficial and growth-oriented tax solution, however, its application requires careful analysis of statutory conditions and ongoing monitoring of tax settlements.
