Niniejsza praca stanowi przede wszystkim przegląd regulacji prawnych oraz stanowisk doktryny dotyczących struktury majątkowej prostej spółki akcyjnej, a także mechanizmów ochrony jej majątku, istotnych z perspektywy zobowiązań spółki wobec wierzycieli. W pracy omówiono najważniejsze instytucje prawne składające się na strukturę majątkową prostej spółki akcyjnej. Analizie poddano również wybrane instrumenty zabezpieczenia majątku spółki oraz konsekwencje naruszenia zasad jego ochrony. Rozważania prowadzone są z uwzględnieniem interesów wierzycieli spółki.

This thesis primarily provides an overview of the legal regulations and scholarly opinions concerning the asset structure of a simple joint-stock company, as well as the mechanisms for protecting its assets, which are significant from the perspective of the company’s obligations to its creditors. The paper discusses the most important legal institutions comprising the asset structure of a simple joint-stock company. It also analyzes selected instruments for securing the company’s assets and the consequences of violating the rules governing their protection. The arguments are presented with due consideration for the interests of the company’s creditors.
