„Klauzula rebus sic stantibus w aktualnych warunkach społeczno – gospodarczych”

W pracy przedstawiono zagadnienie praktycznej możliwości i efektywności stosowania klauzuli rebus sic stantibus, wyrażonej w art. 357¹ k.c., wobec najnowszych wydarzeń społeczno–gospodarczych. Wybuch pandemii COVID-19 oraz konfliktu zbrojnego na terytorium Ukrainy, a także ich następstwa, w szczególności o charakterze społecznym, gospodarczym i ekonomicznym, odcisnęły się na wielu obszarach, w tym w znaczącym stopniu na sferze zobowiązań kontraktowych o charakterze gospodarczym. W związku z wystąpieniem powyższych bezprecedensowych wydarzeń zasadne stało się rozważenie możliwości wykorzystania art. 357¹ k.c., który jest przeznaczony do stosowania w razie nadzwyczajnej zmiany okoliczności. W pracy opisano wskazane zdarzenia ostatnich lat oraz ich następstwa, które stanowiły asumpt do przeprowadzenia rozważań w ramach niniejszej pracy. Poddano analizie samą instytucję klauzuli rebus sic stantibus wraz z jej istotnymi aspektami interpretacyjnymi, a także dokonano oceny możliwości i funkcjonalności zastosowania tej instytucji wobec wskazanych wydarzeń. Przedstawiono również propozycje interpretacyjne de lege ferenda, poprawiające jej użyteczność, a w konsekwencji znaczenie w obrocie prawnym i gospodarczym.

The paper presents the issue of the practical possibility and effectiveness of the application of the rebus sic stantibus clause expressed in Article 357¹ of the Civil Code in the face of recent socio-economic developments. The outbreak of the COVID-19 pandemic and the armed conflict on the territory of Ukraine, as well as their consequences, particularly of a social, economic and economic nature, have left an imprint on many areas, including, to a significant extent, the sphere of contractual obligations of an economic nature. In view of the occurrence of the above unprecedented events, it has become reasonable to consider the use of Article 357¹ of the Civil Code, which is intended to be applied in the event of an extraordinary change of circumstances. The paper describes the indicated events of recent years and their consequences, which provided the apex for the considerations within the framework of this work. The institution of the rebus sic stantibus clause itself is analysed, together with its important interpretative aspects, and the possibility and functionality of applying this institution to the indicated events is assessed. De lege ferenda interpretative proposals are also presented, improving its usefulness and, consequently, its significance in legal and economic circulation.
