Obowiązki kontrolno-nadzorcze depozytariusza funduszu inwestycyjnego - charakter prawny i kierunek zmian

Przedmiotem pracy jest analiza obowiązków depozytariusza funduszu inwestycyjnego, ze szczególnym uwzględnieniem ich charakteru prawnego oraz miejsca tej instytucji w systemie nadzoru nad rynkiem finansowym. W pracy omówiono istotę i funkcjonowanie funduszy inwestycyjnych, rolę depozytariusza oraz strukturę nadzoru na poziomie krajowym i unijnym. Wyłoniono katalog obowiązków depozytariusza i wykazano, że mają one charakter złożony, obejmując zarówno czynności techniczne, jak i działania o charakterze kontrolnym oraz elementy funkcji zbliżonych do nadzorczych. Depozytariusz nie sprawuje nadzoru w sensie ścisłym, jednak pełni istotną rolę w systemie ochrony uczestników funduszu, co uzasadnia potrzebę dalszego doprecyzowania jego pozycji prawnej. Opracowano także zagadnienia zasad działania, odpowiedzialności oraz instrumentarium depozytariusza, a także wskazano dalsze kierunki zmian i tendencje legislacyjne w Polsce oraz Unii Europejskiej.

The subject of the work is an analysis of the duties of an investment fund depository, with particular emphasis on their legal nature and the place of this institution within the financial market supervision system. The work discusses the essence and functioning of investment funds, the role of the depository, and the structure of supervision at the national and EU levels. A catalogue of the depository’s duties has been identified, and it has been shown that they are complex in nature, encompassing both technical activities and control-related actions, as well as elements of functions similar to supervisory ones. The depository does not exercise supervision in the strict sense, however it plays an important role in the system of protecting fund participants, which justifies the need for further clarification of its legal position. The study also addresses issues of operating principles, liability, and the depository’s instruments, and indicates further directions of change and legislative trends in Poland and the European Union.
