Instytucja zarządu we francuskiej spółce akcyjnej w świetle recepcji francuskiego prawa handlowego na ziemiach polskich

dc.abstract.enThe thesis presents the influence of French commercial law and French commercial practice on the solutions adopted in the corporate organisation of the management board in joint-stock companies established in the former territory of the Duchy of Warsaw and the Kingdom of Poland. It concerns the historical period from 1809, i.e. the entry into force of the Napoleonic Code de commerce in the Duchy of Warsaw, to 1928, when the first provisions of joint-stock law in the independent Republic of Poland were introduced in the area in question. The role and significance of the Code de commerce for Polish legal and commercial practice in the absence of relevant Polish legal regulations is presented with attention paid to the attaching of Polish doctrine to French jurisprudence and French commentaries to the Commercial Code. The thesis also indicates the possible scope and possible influence of Russian commercial law. It analyses examples of Polish joint-stock companies' articles of association of the period in question, and discusses statutory practice in France in the 19th century. The analysis of the institution of the management board is based on the central problems stimulating its organisation: the issues of the appointment, composition and cadence of the body, the scope of the entrusted activities and remuneration, finally the liability for the company's management to the company, as well as to third parties.
dc.abstract.plPraca ukazuje wpływ francuskiego prawa handlowego, a także francuskiej praktyki handlowej na rozwiązania przyjmowane w korporacyjnej organizacji instytucji zarządu w spółkach akcyjnych powstających na terenie byłego Księstwa Warszawskiego i Królestwa Polskiego. Okres historyczny obejmuje przedział od roku 1809, tj. wejścia w życie napoleońskiego Code de commerce w Księstwie Warszawskim, do roku 1928, kiedy na wspomnianym obszarze zostały wprowadzone pierwsze przepisy prawa akcyjnego stanowione już w niepodległej Rzeczypospolitej. Przedstawiona została rola i znaczenie Code de commerce dla polskiej praktyki prawno-handlowej wobec braku stosownych polskich regulacji prawnych, ze zwróceniem uwagi na przywiązywanie wagi polskiej doktryny do francuskiego orzecznictwa oraz francuskich komentarzy do kodeksu handlowego. Praca wskazuje także możliwy zakres i ewentualny wpływ rosyjskiego prawa handlowego. Dokonuje analizy przykładowych statutów polskich spółek akcyjnych wspomnianego okresu, a także omawia statutową praktykę we Francji doby XIX wieku. Analiza instytucji zarządu została oparta o główne problemy stymulujące jego organizację, przede wszystkim kwestie: powołania, składu i kadencji organu, zakresu powierzonych czynności zarządczych oraz wynagrodzenia, wreszcie odpowiedzialności za sprawowany zarząd względem spółki oraz osób trzecich.
