dc.abstract.enThis paper examines the concept of interest of a capital company. Firstly, this paper sets out the current legislation, the literature on the subject as well as the jurisprudence, and explains the definitions of the notions of general clause and interest. It then goes on to analyse the characteristics of the general clause of the company's interest as well as the features of the company's legal personality based on its interest. Finally, it makes reference to the company's interest clause in the doctrine of Polish commercial law. The following section examines the interest of a capital company from a systemic and functional standpoint. Next, the interest of the capital company was presented in the context of the interests of its shareholders, including an examination of the fundamental principles underlying the operation of capital companies. This is followed by an examination of the functioning of the management and supervisory boards in the context of the company's interests. Finally, the issue of a group of companies and the concept of interest in this context, in accordance with the amendments to the Companies Act, is addressed. The objective of this thesis is to provide a comprehensive definition of the term 'interest' as it relates to capital companies.
dc.abstract.plW niniejszej pracy dokonano analizy pojęcia interesu spółki kapitałowej. W pierwszej kolejności, opierając się na aktualnym ustawodawstwie, literaturze przedmiotu, jak i orzecznictwie, wyjaśniono definicję pojęcia klauzuli generalnej oraz pojęcia interes, przeanalizowano charakterystykę klauzuli generalnej interesu spółki, a także cechę osobowości prawnej spółki w oparciu o jej interes, odniesiono się także do klauzuli interesu spółki w doktrynie polskiego prawa handlowego. W dalszej kolejności omówiono interes spółki kapitałowej w ujęciu systemowym i funkcjonalnym. Następnie przedstawiono interes spółki kapitałowej przez pryzmat interesu wspólników (akcjonariuszy), w tym kwestię fundamentu funkcjonowania spółek kapitałowych. W dalszej części rozważono funkcjonowanie zarządu i rady nadzorczej zgodnie z kryterium interesu spółki. Na sam koniec poruszono zagadnienie dotyczące grupy spółek i pojęcia interesu w tej przestrzeni, zgodnie z nowelizacją KSH. Niniejsza praca ma na celu objaśnienie szeroko rozumianego pojęcia interesu spółek kapitałowych.
