Zielone obligacje w standardzie Green Bond Principles opracowanym przez International Capital Markets Association

dc.abstract.enThis study aims to provide an overview of the rules and requirements related to the issuance of Green Bonds. The thesis includes a description of the basic four conditions necessary to qualify a series of bonds as compliant with the Green Bond Principles, as well as an analysis of key recommendations to ensure the transparency required by potential investors of the issuer's policies in connection with the issuance of Green Bonds. When describing individual requirements from the Green Bond Principles, mention was also made of ancillary international standards and EU regulations on the basis of which issuers can develop an effective sustainability strategy. In order to better illustrate the International Capital Markets Association's guidelines for issuing Green Bonds, examples of how issuers of Green Bonds governed by Polish law can address each requirement are also provided. It is also explained how the construction of a bond objective within the meaning of the Bond Law can be used when issuing Green Bonds.
dc.abstract.plNiniejsza praca ma na celu przybliżenie zasad i wymogów związanych z emisją tzw. Zielonych Obligacji. Praca zawiera opis podstawowych czterech przesłanek koniecznych do zakwalifikowania danej serii obligacji jako zgodnej z Green Bond Principles oraz analizę kluczowych rekomendacji do zapewnienia wymaganej przez potencjalnych inwestorów przejrzystości zasad działania emitenta w związku emitowaniem Zielonych Obligacji. Przy opisie poszczególnych wymogów z Green Bond Principles wspomniano także o pomocniczych międzynarodowych standardach i regulacjach unijnych, na bazie których emitenci mogą opracować efektywną strategię zrównoważonego rozwoju. W celu lepszego zobrazowania wytycznych International Capital Markets Association co do emisji Zielonych Obligacji, podano także przykładowe sposoby zaadresowania poszczególnych wymogów przez podmioty emitujące Zielone Obligacje rządzone prawem polskim. Wyjaśniono również, w jaki sposób przy emisji Zielonych Obligacji może zostać użyta konstrukcja celu obligacji w rozumieniu Ustawy o Obligacjach.
