Stosunek członkostwa w zarządzie spółki z ograniczoną odpowiedzialnością i spółki akcyjnej

dc.abstract.enIn the following thesis an analysis of the issue of membership in the management board of a limited liability company and a joint-stock company has been presented. It describes the key aspects related to performing this function and characterizes the relationship between the company and its board member in a theoretical and legal context. The management board, responsible for managing the company's affairs and representing it externally, is one of the key elements determining its effective and stable operation. The paper discusses the principles and mechanisms of functioning of the management board and analyses the issues related to the assessment of the effectiveness and legality of its actions. The issue of the timeframe of the mandate is discussed, focusing on the moment and possible ways of establishing and terminating the board membership relationship, and the candidates’ qualifications for appointment are distinguished. The content of the mandate is also discussed, particularly by identifying the rights and obligations of board members and the principles they should follow in fulfilling them.
dc.abstract.plW niniejszej pracy przeprowadzono analizę zagadnienia członkostwa w zarządzie spółki z o.o. oraz spółki akcyjnej, opisując kluczowe aspekty związane z pełnieniem tej funkcji oraz charakteryzując stosunek łączący spółkę z członkiem jej zarządu w kontekście teoretycznoprawnym. Zarząd, odpowiedzialny za prowadzenie spraw spółki i reprezentowanie jej na zewnątrz, stanowi jeden z kluczowych elementów determinujących jej efektywne i stabilne działanie. W opracowaniu omówione zostały zasady i mechanizmy funkcjonowania zarządu, przeanalizowano również kwestie związane z oceną skuteczności i legalności podejmowanych przez niego działań. Przybliżono problematykę ram czasowych sprawowania mandatu, skupiając się na momencie i możliwych sposobach nawiązania oraz ustania stosunku członkostwa w zarządzie oraz wyróżniono kwalifikacje podmiotowe, których spełnienie stanowi warunek konieczny dla powołania. Omówiona została także treść mandatu, w szczególności poprzez wskazanie na uprawnienia i obowiązki członków zarządu, a także zasady jakimi powinni kierować się przy ich wypełnianiu.
