Klauzula rebus sic stantibus jako instrument ochrony przed ryzykiem gospodarczym stron umowy o roboty budowlane

dc.abstract.en	The master’s thesis provides an in-depth examination of the applicability of the rebus sic stantibus clause, set forth in Article 357¹ of the Polish Civil Code, as a legal instrument designed to mitigate the economic risks borne by parties to construction works contracts. Owing to their inherently long-term character, the substantial financial commitments they require, and the involvement of multiple participants in the investment process, such contracts expose the parties to a heightened level of economic risk – often impossible to anticipate at the time of contract formation. The study undertakes a detailed analysis of the legal framework contained in Article 357¹ of the Civil Code, which enables judicial intervention in the form of modification of an obligation in circumstances involving an extraordinary change in relations. The thesis outlines the historical development of the rebus sic stantibus doctrine, elaborates on the substantive prerequisites for its invocation, and discusses the scope of judicial discretion where these requirements are deemed to have been cumulatively met. Furthermore, the thesis addresses the distinctive features of construction works contracts and the economic risks inherent in such contractual relationships. The overall analysis supports the conclusion that the extraordinary change of circumstances clause constitutes an exceptional and significant protective mechanism against unforeseeable events arising after contract formation, thereby contributing to the preservation of a fair and equitable balance of interests between the parties to construction works contracts.
dc.abstract.pl	Praca stanowi opracowanie zagadnienia możliwości zastosowania klauzuli rebus sic stantibus, uregulowanej w art. 3571 k.c. jako instrumentu ochrony przed ryzykiem gospodarczym stron umowy o roboty budowlane. Tego rodzaju umowy, ze względu na to, że ich realizacja ma długotrwały charakter, wiążą się z dużymi nakładami finansowymi oraz z zaangażowaniem wielu uczestników procesu inwestycyjnego. Stanowią one pole, na którym strony są narażone na wysokie ryzyko gospodarcze, często niedające się przewidzieć przy ich zawieraniu. W niniejszej pracy analizie zostanie poddana regulacja unormowana w artykule 3571 k.c. stwarzająca możliwość sądowej modyfikacji zobowiązania w sytuacji nadzwyczajnej zmiany stosunków. Przybliżona zostanie geneza ukształtowania klauzuli rebus sic stantibus, zostaną omówione przesłanki jej zastosowania oraz kompetencje sądu w przypadku stwierdzenia, że zostały one łącznie spełnione. Omówiona zostanie specyfika umowy o roboty budowlane i ryzyka gospodarcze spoczywające na stronach tego rodzaju umów. Całość rozważań prowadzi do wniosków, że klauzula nadzwyczajnej zmiany stosunków stanowi wyjątkowy, szczególny i istotny instrument ochrony przed okolicznościami, których nie można było przewidzieć przy zawieraniu umowy i tym samym przyczynia się do zapewnienia równowagi interesów stron umów o roboty budowlane.
