Tworzenie oraz możliwe modele władzy fundacji rodzinnej

dc.abstract.en	The subject of the paper is an analysis of the manner in which a family foundation is established and operates, and to determine whether the Family Foundation Act actually allows for comprehensive planning of the succession of a family business. The issue of the location of a family foundation in the Polish legal system and the issue of the establishment of a foundation have been analysed. The issue of regulation of the register of family foundations and of the bodies through which a family foundation operates was also discussed. The above analysis was made on the basis of Polish legislation and relevant case law and the achievements of the doctrine, as well as on the basis of an empirical study of registration data of family foundations. The result of the study indicates the usefulness of a family foundation as a vehicle for planning the succession of a family business, while the method of regulation may adversely affect other participants in the trade.
dc.abstract.pl	Przedmiotem pracy jest analiza sposobu powstania oraz funkcjonowania fundacji rodzinnej oraz określenie, czy rzeczywiście ustawa o fundacji rodzinnej pozwala na kompleksowe zaplanowanie sukcesji przedsiębiorstwa rodzinnego. Poddana analizie została kwestia umiejscowienia fundacji rodzinnej w polskim porządku prawnym oraz kwestia powstania fundacji. Omówiona została również kwestia unormowania rejestru fundacji rodzinnej oraz organów, przez które działa fundacja rodzinna. Powyższa analiza została dokonana w oparciu o polskie ustawodawstwo oraz o relewantne orzecznictwo oraz dorobek doktryny, jak również w oparciu o przeprowadzone badanie empiryczne danych rejestrowych fundacji rodzinnych. Wynik pracy wskazuje na użyteczność fundacji rodzinnej jako wehikułu do zaplanowania sukcesji przedsiębiorstwa rodzinnego, przy czym sposób regulacji może negatywnie wpływać na pozostałych uczestników obrotu.
